MSDE Install Failure

I am trying to install MSDE2 on Win2k server with SP4, as with many other
posts when I try and install it just rolls back. The error log generated
lists
Starting custom action NoRebootReplace
TempFolder Property is C:\WINNT\TEMP\
Source Dir Property is C:\WINNT\TEMP\SqlSetup\Temp
NoRebootConnectRepl returned: 3
Action ended 16:53:55: InstallFinalize. Return value 3.
Action ended 16:53:55: INSTALL. Return value 3.
Does anyone know why this would be?

are you installing on Terminal Server using Application Server Mode?
please add about 10/20 rows before and after the retun value 3 line
